As an introductory course of corporate governance, we will explore contemporary issues pertinent to corporate law and finance. In addition, this course will improve students’ knowledge on traditional corporate governance issues (e.g., corporate fraud; agency conflicts) and discuss the cutting-edge issue of sustainable corporate governance.

Course Description: This course is to introduce legal fundamentals and economic/financial concepts governing corporations’ operation, finance, and relations among the management, shareholders, and other stakeholders in a corporation. In addition to a focus of corporate finance and the functions of the security market, this course will, from time to time, make comparison between the U.S. and Taiwanese models of corporate law, corporate governance, while looking into emerging trends in business sustainability or ESG (environmental, social & corporate governance). 2. References: The course materials are those to be assigned and distributed to students bit by bit in class. 3. Teaching Methods: Via course lectures, students will develop critical skills in assessing the relevance of the principles of corporate law, corporate governance and finance to real-world situations. Moreover, active and significant student participation in class discussion is required. 4.
